1. Introduction
These Terms and Conditions govern your use of the Mobeius website and any services provided by Mobeius Technologies Pty Ltd. By accessing our website or engaging our services, you agree to be bound by these terms.
2. Our Services
Mobeius provides two categories of service:
Build services: fixed-fee project work including websites, e-commerce stores, custom web applications, mobile apps, and AI or automation tools. Build services are quoted and billed as a fixed price agreed before work begins.
Grow services: ongoing growth and operations work including digital marketing, business process outsourcing, and team outsourcing. Grow services may involve an initial setup cost, followed by ongoing payment structured around results, as agreed in a separate service agreement for each engagement.
Specific scope, deliverables, timelines, and pricing for any project are set out in a separate written quote or agreement, which forms part of these terms once accepted by both parties.
3. Quotes and Payment
- Build project quotes are fixed once agreed in writing and will not change without your consent, except where the agreed scope changes.
- Grow service pricing structures are agreed individually per project and set out in a separate service agreement.
- Where Grow services involve advertising spend, that spend is paid directly by the client to the relevant advertising platform. Mobeius does not receive, mark up, or take a share of advertising spend.
- Payment terms, including deposits and milestones, will be specified in your project agreement.
- Late payments may incur additional fees or result in a pause of ongoing work.
4. Client Responsibilities
To deliver services effectively, clients agree to:
- Provide timely feedback, content, and approvals as required
- Provide accurate information necessary for the project
- Make payments in accordance with the agreed terms
- Ensure they have the right to use any material they provide to us
5. Intellectual Property
Build services: Upon full payment, ownership of the final delivered website, application, or tool transfers to the client, unless otherwise agreed in writing. Mobeius retains the right to use underlying tools, frameworks, and non-client-specific code across other projects.
Grow services: Materials created specifically for a client’s campaign (ad creative, content, copy) become the client’s property upon payment. Mobeius retains ownership of proprietary methods, processes, and tools used to deliver the service.
Mobeius retains the right to showcase completed work in its portfolio and marketing materials, unless a client requests confidentiality in writing.
6. Warranties and Limitations
We take reasonable care and skill in delivering all services. However:
- We do not guarantee specific business outcomes, sales figures, or rankings from Grow services, as these depend on factors outside our control including market conditions and client-controlled decisions.
- Build deliverables are provided as tested and functional at the point of handover. Ongoing maintenance, hosting, and third-party platform changes are the client’s responsibility unless covered by a separate support agreement.
- To the maximum extent permitted by law, Mobeius’s liability for any claim arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim.
Nothing in these terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.
7. Termination
Either party may terminate an ongoing Grow engagement with written notice, as specified in the relevant service agreement. Build projects, once scoped and commenced, are governed by the cancellation terms set out in the project agreement, which may include payment for work completed to date.
8. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, except where disclosure is required by law.
9. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of New South Wales.
10. Changes to These Terms
We may update these Terms and Conditions from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
